Terms of Service
For WP Wizards websites services and The Hub
Effective date: September 9, 2026
These Terms of Service are a binding agreement between you and WP
Wizards LLC (WP Wizards, we, us, or our). They govern your access to
wpwizards.com, The Hub at hub.wpwizards.com, and related online
features, portals, reports, tools, and support resources (collectively,
the Services). By accessing or using the Services, you agree to these
Terms. If you use the Services for an organization, you represent that
you have authority to bind that organization, and “you” includes the
organization.
These Terms do not replace a signed proposal, statement of work,
order form, data processing addendum, service agreement, or other
written contract with WP Wizards. If there is a conflict, the signed
agreement controls for its subject matter. Client-specific scope,
pricing, payment, ownership, service levels, and termination are
governed by those agreements.
1 Eligibility and accounts
You must be at least 18 years old and legally able to enter into a
contract. You must provide accurate account information, keep it
current, safeguard credentials, use individual user accounts, and
promptly notify us of suspected unauthorized access. You are responsible
for activity under your account except to the extent caused by WP
Wizards. Client administrators may add, change, or remove authorized
users and may access information and activity associated with their
organization.
2 License and permitted use
Subject to these Terms and any applicable signed agreement, WP
Wizards grants you a limited, nonexclusive, nontransferable, revocable
right to access and use the Services for your internal business purposes
during the applicable service term. No rights are granted except as
expressly stated.
3 Acceptable use
You may not, and may not help another person to:

Use the Services unlawfully, fraudulently, deceptively, or in a way
that violates another person’s rights, privacy, intellectual property,
or contract. -
Upload malware or harmful code; probe, scan, disrupt, overload, or
circumvent security, authentication, permissions, usage limits, or
access controls. -
Access another client’s data or account without authorization; share
credentials; impersonate another person; or misrepresent your
authority. -
Reverse engineer, decompile, copy, scrape, frame, resell, sublicense,
or commercially exploit the Services except to the extent a restriction
is prohibited by law or WP Wizards gives written permission. -
Use automated means to extract data or generate excessive requests
except through an authorized integration or written permission. -
Upload or process highly sensitive information, including protected
health information, unless expressly authorized in a separate written
agreement with required safeguards. -
Use outputs as a substitute for professional legal, tax, accounting,
medical, financial, or other regulated advice, or rely on an automated
recommendation without appropriate review. -
Use the Services or outputs to develop, train, or benchmark a
competing product or model without our written permission.
4 Client data and
responsibilities
“Client Data” means data, content, files, credentials, account
information, leads, customer records, analytics, advertising data,
transaction or revenue information, and other material provided by or
for you or retrieved from systems you authorize.
You retain your rights in Client Data. You grant WP Wizards and its
service providers a limited right to host, copy, transmit, modify,
analyze, display, and otherwise process Client Data as needed to
provide, secure, support, and improve the Services; follow your
instructions; enforce agreements; and comply with law. This permission
lasts only as long as necessary for those purposes, subject to retention
obligations and backups.
You represent and warrant that you have all rights, notices,
consents, permissions, and lawful bases necessary for WP Wizards to
process Client Data as contemplated by the Services and our Privacy
Policy. You are responsible for the accuracy, legality, and integrity of
Client Data; your instructions; the configuration of connected services;
permissions granted to users; and decisions or actions taken from
reports or recommendations.
5 Connected services and
credentials
The Services may connect with websites, hosting accounts, advertising
platforms, analytics products, search tools, ecommerce systems, CRMs,
communications tools, and other third-party services. You authorize WP
Wizards to access and exchange information with those services as
necessary to provide the requested functionality. You are responsible
for maintaining valid third-party accounts and complying with their
terms. Third-party changes, outages, quotas, suspensions, or API limits
may affect the Services and are outside our control.
6 Reports
recommendations and automated outputs
The Hub may provide analytics, attribution, scoring, forecasts,
diagnostics, recommendations, generated text, and other automated or
artificial-intelligence-assisted outputs. These outputs are
informational and may be incomplete, delayed, or inaccurate because they
depend on Client Data, third-party systems, assumptions, and evolving
technology. Attribution and forecasts are estimates unless expressly
identified otherwise. You must review outputs before acting on them. WP
Wizards does not guarantee rankings, traffic, leads, revenue,
advertising performance, platform approval, or any particular business
result.
7 Changes approvals and
actions
Some features may propose or execute changes to connected websites or
third-party accounts. Available controls may include approval
requirements, access roles, pilot modes, limits, audit logs, or
emergency stops. You authorize only those actions you approve or enable.
You remain responsible for reviewing proposed and completed actions,
maintaining backups where appropriate, and promptly reporting an error.
We may refuse, pause, reverse where technically feasible, or require
additional confirmation for an action that presents unusual risk,
conflicts with an instruction, or appears unauthorized.
8 Fees and paid services
Fees, billing schedules, minimum terms, renewals, refunds, late
charges, and cancellation rules are stated in the applicable signed
agreement or order. Unless that agreement states otherwise, fees are due
when invoiced and are nonrefundable once earned or once a committed
third-party cost is incurred. We may suspend paid features or services
for undisputed overdue amounts after reasonable notice. You are
responsible for applicable taxes other than taxes on WP Wizards’ net
income.
9 WP Wizards property
The Services, software, workflows, interface, designs, documentation,
templates, methodologies, models, aggregated or deidentified data, and
related intellectual property are owned by WP Wizards or its licensors.
Client ownership of project deliverables, if any, is governed by the
applicable signed agreement. WP Wizards may use feedback without
restriction or payment, provided it does not identify you or disclose
your confidential information without permission.
10 Confidentiality
Each party may receive nonpublic information that a reasonable person
would understand to be confidential. The receiving party will use it
only to perform or receive the Services, protect it with reasonable
care, and disclose it only to personnel and providers who need it and
are bound by appropriate obligations. Confidential information does not
include information that is public through no breach, already lawfully
known, independently developed without use of the information, or
lawfully received from another source. A party may disclose information
when legally required after giving notice where permitted.
11 Privacy and security
Our Privacy Policy explains how WP Wizards handles personal
information. You must use the Services in compliance with privacy,
marketing, communications, employment, and data-protection laws
applicable to you. We maintain reasonable safeguards, but no system is
completely secure. You acknowledge the risks inherent in internet
services and connected third-party systems.
12 Beta preview and changing
features
We may label features beta, preview, experimental, coming soon, or
similar. They may be changed, limited, interrupted, or discontinued and
may contain errors. We may update the Services, impose reasonable
technical limits, or discontinue functionality. If a change materially
reduces paid functionality during a committed term, any remedy will be
governed by the applicable signed agreement.
13 Suspension and termination
You may stop using the Services at any time, subject to any signed
agreement. We may suspend or restrict access when reasonably necessary
to address a security threat, unlawful activity, misuse, nonpayment,
third-party platform restriction, or material breach. Where practical,
we will provide notice and an opportunity to cure. Upon termination,
your license ends. Provisions that by their nature should
survive—including ownership, confidentiality, payment obligations,
disclaimers, limitations of liability, indemnity, and dispute terms—will
survive.
Client Data export, return, deletion, and transition assistance are
governed by the applicable signed agreement. If none applies, you should
export needed information before access ends; we may delete or
deidentify Client Data after a reasonable period, subject to law,
backups, security records, and legitimate business retention.
14 Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS
IS” AND “AS AVAILABLE.” WP WIZARDS DISCLAIMS ALL EXPRESS, IMPLIED, AND
STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM
COURSE OF DEALING OR USAGE. WP WIZARDS DOES NOT WARRANT THAT THE
SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH
EVERY THIRD-PARTY SYSTEM, OR THAT DATA OR OUTPUTS WILL BE COMPLETE OR
ACCURATE. Nothing in these Terms excludes a warranty or right that
cannot legally be excluded.
15 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WP WIZARDS NOR ITS
OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR PROVIDERS WILL BE LIABLE
FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL
DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; OR THE COST
OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF WP
WIZARDS AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE SERVICES OR
THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO WP WIZARDS FOR THE
AFFECTED SERVICES DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO
LIABILITY. IF YOU HAVE NOT PAID FOR THE SERVICES, THE CAP IS ONE HUNDRED
U.S. DOLLARS. These limits do not apply where prohibited by law or to
liability that cannot legally be limited. A signed agreement may
establish a different cap for the services it covers.
16 Indemnification
To the extent permitted by law, you will defend, indemnify, and hold
harmless WP Wizards and its owners, employees, contractors, and
affiliates from third-party claims, damages, liabilities, and reasonable
costs arising from your Client Data; your unlawful or unauthorized use
of the Services; your violation of these Terms, applicable law, or
another person’s rights; or actions taken through your account, except
to the extent caused by WP Wizards’ breach, negligence, or willful
misconduct. We will promptly notify you and reasonably cooperate. You
may not settle a claim in a way that admits fault by or imposes an
obligation on WP Wizards without our written consent.
17 Copyright complaints
If you believe material available through the Services infringes your
copyright, send a detailed notice to info@wpwizards.com identifying the
copyrighted work, the allegedly infringing material and its location,
your contact information, a statement of good-faith belief, a statement
under penalty of perjury that the notice is accurate and you are
authorized to act, and your physical or electronic signature.
18 Governing law and disputes
These Terms are governed by the laws of the State of Maryland,
without regard to conflict-of-law rules. Before filing a claim, each
party will give written notice describing the dispute and allow at least
30 days for good-faith negotiation, unless urgent injunctive relief is
needed. Subject to any dispute provision in a signed agreement, the
state and federal courts located in Maryland will have exclusive
jurisdiction, and each party consents to personal jurisdiction and venue
there. Nothing prevents either party from seeking injunctive or
equitable relief to protect confidential information, security, access
rights, or intellectual property.
19 Changes to these Terms
We may update these Terms from time to time. We will post the revised
version and update the effective date. For material changes affecting
existing account users, we may provide additional notice. Changes apply
prospectively. Continued use after the effective date of updated Terms
constitutes acceptance where permitted by law. If you do not agree, stop
using the Services and, if applicable, follow the termination process in
your signed agreement.
20 General terms
These Terms and incorporated policies are the entire agreement about
general access to the Services, subject to any controlling signed
agreement. You may not assign these Terms without our written consent;
WP Wizards may assign them in connection with a merger, reorganization,
sale, or transfer of the relevant business. Failure to enforce a
provision is not a waiver. If a provision is unenforceable, it will be
modified to the minimum extent necessary and the remainder will
continue. Neither party is liable for delay caused by events beyond
reasonable control, except payment obligations. Headings are for
convenience. Electronic notices and signatures are valid to the extent
permitted by law.
